Ministry of Finance selected candidates for the new term of office of the Supervisory Board of Ignitis Group

The Ministry of Finance has selected new candidates,four independent members and three civil servants, to the Supervisory Board of the international energy company Ignitis Group. The selection of the proposed candidates was determined by their broad expert competences in the energy and financial sectors, organizational management and digitalization, and experience in international business companies. The candidacies proposed by the Ministry of Finance still need to be approved by the company's shareholders.

The following candidates are proposed as independent members of the Supervisory Board of Ignitis Group: Alfonso Faubel (renewable energy) and Tim Brooks (Sustainability and ESG, including HSE), who have accumulated extensive international experience in companies in the energy sector, in particular in the renewable energy area, Lorraine Wrafter (organizational development) - an experienced organizational development and human resources manager, and Sian Lloyd Rees (risk oversight), who has many years of international experience, extensive expert knowledge in the energy sector and digitalization competencies. These candidates also hold positions in the current Supervisory Board of Ignitis Group.

The current council members, Aušra Vičkačkienė (public policy and management) and Ingrida Muckutė (accounting and audit), experts from the Ministry of Finance, who have won the selection, are proposed as civil servant representatives. The new civil servant representative is Lina Liubauskaitė (regulation), expert from the Office of the Government.

They are aimed at managing the infrastructure of the Lithuanian energy system and implementing projects of strategic importance in order to contribute to the energy security of the region, as well as provide competitive and affordable energy services to customers and ensure a socially responsible increase in long-term value for the state. Therefore, we set high requirements for the members of the company's supervisory board in terms of competence, transparency and operational efficiency. We believe that their accumulated experience and competence will significantly contribute to the implementation of the goals of the group of companies”, Minister of Finance Kristupas Vaitiekūnas states.

A. Faubel has 36 years of experience in energy, digitalization and automotive industries. Over the past decade, he has gained valuable experience in the energy sector, especially in the development of renewable energy resources - both onshore and offshore wind farms - at world leaders in this field: Siemens Gamesa, Alstom/General Electric. Moreover, in the latter he opened 16 new markets worldwide (Italy, France, Spain, Mexico, etc.).

L. Wrafter is an HR Director and an experienced organizational development professional specializing in increasing organizational effectiveness and productivity, strategic change management, cultural integration, talent management, and leadership development. L. Wrafter has accumulated valuable experience in implementing M&A organizational transformation programmes, having worked for more than 30 years in large international corporations such as HOLCIM, CARGILL Inc. Since 1 September, L. Wrafter has been the Chair of the Board of Circal.

Tim Brooks is a senior executive with over 20 years of experience in sustainability, both as a consultant and in large companies. He is currently the Chief Sustainability Officer at Hikma Pharmaceuticals plc, a global pharmaceutical company listed on the FTSE 100 index. He previously spent 12 years at the LEGO Group as Chief Sustainability Officer and Vice President, regularly contributing to the company’s risk and compliance boards. T. Brooks worked with KIRKBI, the parent company of the LEGO Group, to coordinate over USD 700 million in financing for renewable energy projects, which included the construction of two offshore wind farms and the installation of building-top and ground-mounted solar panels to power LEGO buildings.

 S. L. Rees is a top-level executive with over 17 years of international experience in the energy sector and over 5 years of experience on boards, remuneration, nominations, audit and sustainability committees. Sian Lloyd Rees has held senior management positions in Aker ASA, Stena AB and Halliburn Corporation. Under her leadership, the strategic transformation of the business was implemented, moving from the oil and gas industry to the development of offshore wind farms. The candidate also has significant experience in implementing international expansion, managing change and transforming organizations, developing and implementing strategies, taking responsibility for digitalization, initiating and overseeing the implementation of ESG processes.

A. Vičkačkienė has more than 20 years of experience in civil service, for the past dozen years she has been working as the Director of the State Assets Management Department of the Ministry of Finance. Previously, she worked in the areas of financial services regulation and state debt management. For many years, she has represented and represents the Ministry of Finance on the management boards or supervisory boards of several state-owned enterprises. In addition, A. Vičkačkienė has held positions on the management boards of several state-owned enterprises - Būsto paskolų draudimasUAB, Turto bankas and the Public Investment Development Agency. In the latter, she was elected the Chair of the Management Board.

I. Muckutė has been the Head of the Department of Accountability, Audit, Asset Valuation and Insolvency Policy of the Ministry of Finance since 2004. During the Lithuanian Presidency of the Council of the EU in 2013, I. Muckutė chaired the meetings of the Company Law Working Group on the Audit Directive and Regulation. Since then, her duties have included chairing the national accounting standards committees in the private and public sectors, as well as active participation in the preparation of proposals for the modernization of national accounting, corporate insolvency and asset and business valuation systems.

L. Liubauskaitė has been working at the Office of the Government for more than 27 years. For the past 6 years, she has been heading the Economic Policy Group of the Office of the Government and previously worked as the Head of the Budget and EU Structural Assistance Division and the Head of the Economic Progress Division of the Policy Analysis and Reforms Departmentof the Office of the Government. In addition, L. Liubauskaitė has held positions in the collegial bodies of several state-owned enterprises: Būsto paskolų draudimas UAB, Viešųjų investicijų plėtos agentūras UAB, Žemės ūkio paskolų garantijų fondas UAB, etc.

The Supervisory Board is a collegial body of Ignitis Group, the main competence of which includes supervision of the activities of the company and its managed companies, approval of the strategy, as well as analysis and supervision of its implementation, and is elected for a term of 4 years. The Company's Supervisory Board will consist of a total of nine members – six independent members and three civil servants. Eligibility check of the remaining two independent members is currently ongoing. The full composition of the Ignitis Group Supervisory Board is expected to be approved at the company's general meeting of shareholders to be held on 24 October. The term of office of the current Supervisory Board expires on 25 October 2025.

The selection of the members to the Supervisory Board of the Company was subject to the regulation of the Republic of Lithuania Law on Equal Opportunities for Women and Men. The international selection of independent members of the Supervisory Board of Ignitis Group was carried out by a selection commission formed by the Minister of Finance, with the help of the agency Pedersen & PartnersUAB, which is engaged in the search for managers and managerial personnel. 47 candidates participated in the selection.

The procedure for selecting civil servants to the Supervisory Board of the Company was carried out in accordance with the Guidelines for the Procedures for Selecting Persons to the Supervisory or Management Body of an Enterprise and was carried out by a commission formed by the Minister of Finance. 8 candidates participated in the selection.

74.99 % of the company's shares are owned by the Ministry of Finance, and 25.01 % of the shares are owned by small investors.
